Partner Program Terms

1. About This Agreement

These Terms and Conditions ("Agreement") govern your participation in the Timekeep Partner Program ("Program"). By registering, you agree to be bound by this Agreement.

2. Eligibility

To participate, you must:

• Be any individual aged 18 or older
• Provide a valid name and email address
• Not have been previously removed from the Program

3. Commission Structure

Referral Commission

Referral Attribution

A referral is attributed to you when a business signs up using your unique referral link or code. Attribution is permanent for the lifetime of that account's subscription.

Payment Terms

• Minimum Payout: ₱500 (balances below this threshold carry forward)
• Payment Schedule: Processed after each customer payment clears (monthly or yearly, matching their billing cycle)
• Payment Methods: GCash, Maya, or bank transfer (BDO, BPI, UnionBank, or similar)
• Currency: Philippine Peso (₱)

Commission Adjustments

Commissions may be deducted or reversed if:

• The referred customer receives a refund
• The customer's payment is charged back or disputed
• The referral is found to violate these Terms

4. Partner Obligations

You agree to:

• Provide accurate registration information
• Use only approved marketing materials
• Disclose the partnership relationship when asked by referrals
• Ensure all referrals are genuine prospective customers
• Comply with applicable Philippine laws, including the Data Privacy Act (RA 10173)

You must NOT:

• Make false or misleading claims about Timekeep
• Send unsolicited commercial messages (spam)
• Refer yourself or businesses you own or control
• Use Timekeep trademarks in paid advertising without written approval
• Engage in any fraudulent or deceptive practices

5. Timekeep Obligations

We will provide:

• A unique referral link and partner code
• Access to a partner dashboard for tracking referrals and earnings
• Marketing materials for your use
• Commission statements for each billing period
• Support via email at partners@timekeep.ph

We handle all sales, billing, and customer support for referred customers.

7. Intellectual Property

• Timekeep grants you a limited, non-exclusive, revocable license to use our name, logo, and approved materials solely for Program purposes
• You may not modify our trademarks or register domains containing "Timekeep"
• This license terminates upon termination of your participation

8. Confidentiality

You agree to keep confidential:

• Commission rates (unless publicly disclosed)
• Customer data shared by Timekeep
• Any business information marked confidential

This obligation survives termination of the Agreement.

9. Data Privacy

Both parties agree to comply with the Data Privacy Act of 2012 (RA 10173). Timekeep processes personal data in accordance with our Privacy Policy. You must not share customer information obtained through the Program with third parties.

10. Term and Termination

Duration

This Agreement begins upon creation of your partner account and continues until terminated.

Termination by You

You may terminate at any time by written notice (email). Earned commissions will be paid out.

Termination by Timekeep

We may terminate immediately if you:

• Violate these Terms
• Engage in fraud or misrepresentation
• Damage Timekeep's reputation
• Remain inactive for 12 consecutive months (no active referred clients generating commissions)

We may also terminate without cause with 30 days' written notice.

Effect of Termination

• Your referral links will be deactivated
• Earned but unpaid commissions (above minimum threshold) will be paid within 30 days
• Confidentiality obligations survive termination

11. Limitation of Liability

• Timekeep does not guarantee any minimum sales or conversions
• Our total liability is limited to commissions paid to you in the preceding 12 months
• Neither party is liable for indirect, incidental, or consequential damages

12. Relationship of Parties

You are an independent contractor. Nothing in this Agreement creates an employment relationship, partnership, joint venture, or agency. You have no authority to bind Timekeep.

13. Modifications

Timekeep may modify these Terms with 30 days' notice sent to your registered email. Continued participation after notice constitutes acceptance. Commission rate changes apply only to new referrals.

14. Dispute Resolution

Any dispute arising from this Agreement shall be resolved through:

1. Negotiation: Good faith discussions between the parties
2. Mediation: If unresolved after 30 days, through mediation in Metro Manila
3. Arbitration: If mediation fails, through binding arbitration under Philippine law

15. Governing Law

This Agreement is governed by the laws of the Republic of the Philippines. The courts of Metro Manila shall have jurisdiction over matters not subject to arbitration.

16. General Provisions

• Entire Agreement: This document is the complete agreement between the parties
• Severability: If any provision is unenforceable, the remainder stays in effect
• No Waiver: Failure to enforce any right does not waive it
• Assignment: You may not assign this Agreement; Timekeep may assign it in connection with a merger or acquisition
